Corporate Legal Analyst – Global Entity Management

About the role

We are looking for a Corporate Legal Analyst to lead Ciena’s global legal entity function. Reporting to the Senior Corporate Counsel, the analyst will manage the company’s international subsidiary portfolio, ensure compliance across jurisdictions, and support corporate governance initiatives.

Key responsibilities

• Oversee maintenance of 50+ corporate subsidiaries worldwide, including formation, dissolution, restructuring, and record‑keeping.
• Coordinate with external counsel and corporate service providers to prepare and file resolutions, minutes, powers of attorney, and other statutory documents.
• Ensure adherence to annual compliance requirements and maintain audit‑ready corporate records.
• Partner with Legal, Tax, Finance, Treasury, People & Culture, and Real Estate teams to develop policies and procedures for entity management.
• Respond to internal inquiries regarding entity structure, governance, and related tax, banking, or insurance matters.
• Support global projects such as reorganizations, recapitalizations, and strategic transactions including capital markets, lending, and acquisitions.
• Administer Ciena’s entity management technology platform, propose enhancements, and drive continuous process improvement.

• Proven experience in legal entity management within a multinational corporation.
• Strong organizational skills with a focus on process efficiency and cost control.
• Excellent collaboration abilities to work with cross‑functional global teams.
• Dependable and detail‑oriented with a track record of maintaining accurate corporate records.
