Equity & Cap Table Analyst

About the role

Persona is seeking an Equity & Cap Table Analyst to lead the capitalization table and equity structure work for an early‑stage U.S. startup preparing for seed financing. Reporting directly to the founders and coordinating with external legal counsel, you will rebuild the current cap table, implement a robust system in Carta, and design the share‑class and incentive‑plan framework for the company’s growth.

Key responsibilities

• Reconstruct the existing capitalization table in Carta (or equivalent) with accurate SAFE conversion logic.
• Implement and maintain the cap table ledger, handling all issuances, transfers, and adjustments.
• Own record‑keeping, audit trails, and version control for the cap table.
• Gather Ultimate Beneficial Owner (UBO) information and required disclosures, conducting direct outreach to stakeholders.
• Prepare board‑ready and stockholder‑ready materials in collaboration with legal counsel.

Required profile

• Experience in startup finance, equity administration, corporate legal support, or stock‑plan services.
• Proven ability to model SAFE conversions, dual‑class share structures, and multi‑phase equity plans.
• Comfort working with sensitive founder and investor data and operating independently.

Required skills

• Proficiency with Carta or a comparable cap‑table platform.
• Strong financial modeling capabilities for equity instruments.
• Knowledge of SAFE conversion mechanics and dual‑class share structures.
