Corporate M&A Associate

About the role

Sterlington PLLC is seeking a Corporate M&A Associate to work directly with senior corporate partners on high‑value transactions. You will be involved from day one, handling complex deals across a range of industries.

Key responsibilities

• Represent buyers, sellers, and founders in M&A transactions ranging from $50M to over $1B.
• Structure and negotiate joint ventures and investment fund transactions, including spin‑outs and roll‑ups.
• Manage finance, fintech, and crypto deals at the intersection of capital markets and emerging technology.
• Address cybersecurity, data‑privacy, and tax‑integrated deal‑structuring issues with dedicated teams.
• Provide commercially driven advice, participating in negotiations rather than performing lengthy diligence.

Required profile

• Graduated from an AmLaw 30 firm, preferably with top‑tier M&A or corporate experience.
• 4–8 years of post‑law school experience in corporate transactions, including joint ventures.
• Proven ability to lead diligence workstreams, draft and negotiate acquisition agreements, and manage deal timelines independently.
• Strong commercial mindset with an understanding of deal economics.
• Demonstrated technology orientation, especially AI‑enabled efficiency improvements.
